General Terms and Conditions (T&C)

Last updated: November 2026

Note: These Terms and Conditions apply exclusively to entrepreneurs within the meaning of § 14 BGB (German Civil Code) (B2B). Use by consumers within the meaning of § 13 BGB is not permitted.

§ 1 Scope and Contracting Party

These General Terms and Conditions (hereinafter „T&C“) apply to all business relationships between

Catalina Rojas Ugarte, acting as ClapNClaw, Gneisenaustrasse 51, Apt. 9, 10961 Berlin (hereinafter „ClapNClaw“)

and its customers, provided that the customers are entrepreneurs within the meaning of § 14 BGB.

Conflicting terms of the customer or terms that deviate from these T&C are not recognized unless ClapNClaw expressly agrees to their validity in writing.

§ 2 Subject Matter of the Contract

ClapNClaw provides the customer with a cloud-based AI chat workspace (Software as a Service, SaaS) that enables the AI-assisted processing of business communication, documents, and workflows.

Each customer organization receives a technically isolated environment (its own container, dedicated data volume, its own logically separated database, private network) on servers operated by Hetzner Online GmbH in Germany. A dedicated database instance is included in the Compliance and Dedicated plans. The “Compliance” plan additionally includes a reinforced data processing agreement with a supplementary agreement for professionals bound by professional secrecy (§ 203 StGB), higher usage quotas, document knowledge bases (RAG), and priority support. No ownership of software is transferred; the customer receives a non-transferable right of use limited to the contract term.

§ 3 Scope of Services and Available Plans

The scope of services is determined by the plan selected at the time the contract is concluded:

PlanUsersTokens/MonthPrice/Month
Teamper user3,000,000€29/user/month
Complianceper user8,000,000€59/user/month

Billing is per user (seat). Usage is subject to a fair-use policy with three quota windows per user (4-hour, daily, and monthly limits). When a limit is reached, usage is paused until the respective window resets; no additional costs are incurred. Access is personal; the sharing of access credentials as well as automated bulk retrieval are not permitted.

New customers receive a 7-day free trial without providing payment details. The trial includes the features of the Team plan; AI usage during the trial is, however, limited (an AI credit per trial account and an allowance of 30 messages with Claude Sonnet, after which Claude Haiku answers; Claude Opus is available only with a paid plan). After the trial period expires, access is paused unless a paid plan is concluded; customer data is retained for 30 days and then deleted.

Integrations included in the price: Gmail, Outlook, Slack, Notion, Google Drive, Mattermost, Google Calendar, HubSpot, and Nextcloud, as well as others in accordance with the documentation. There is no entitlement to the permanent availability of specific third-party integrations, as these depend on external providers.

§ 4 Availability and Service Level Agreement (SLA)

ClapNClaw guarantees a monthly platform availability of 99.0 %, measured over the calendar month and excluding scheduled maintenance windows.

Scheduled maintenance windows: Sundays between 02:00 and 04:00 CET/CEST, with 48 hours' advance notice by email.

No liability for availability restrictions caused by failures of third-party providers (Anthropic PBC, Stripe, internet providers, force majeure).

§ 5 Prices, Billing and Payment

Payment is made monthly or annually in advance, depending on the selected billing cycle. With annual billing, the price is €300 per user per year on the “Team” plan and €600 per user per year on the “Compliance” plan. All prices are in EUR and are shown without value-added tax pursuant to § 19 UStG (small business regulation), unless expressly stated otherwise on the invoice.

Payment methods: credit card and SEPA direct debit via Stripe Payments Europe, Limited.

If collection of the fee fails, ClapNClaw is entitled to temporarily suspend access until payment is made; the data remains unchanged during the suspension. Access is restored without undue delay after payment. If the amount remains outstanding for more than 45 days, ClapNClaw is entitled to terminate the contract for good cause (§ 6). Statutory default interest pursuant to § 288 BGB remains reserved.

Price changes are communicated to the customer by email at least 6 weeks before they take effect. If the customer does not object within 4 weeks of notification, this is deemed to constitute consent.

§ 6 Contract Term and Termination

The contract runs for an indefinite period with a minimum term of one month. The notice period is 30 days to the end of the month. Termination must be in text form (an email to [email protected] is sufficient).

The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in the case of:

After the end of the contract: The customer may retrieve their data within 30 days as a structured export (PostgreSQL dump or JSON). After this period expires, all customer data is deleted from the active systems; backup copies expire automatically no later than 30 days thereafter.

§ 7 Customer Obligations and Usage Restrictions

The customer undertakes in particular to do the following:

In the event of a breach of these obligations, ClapNClaw is entitled to immediately suspend access and to terminate the contract extraordinarily.

§ 7a Permitted Use and AI Outputs

(1) The customer uses the platform in accordance with Anthropic's Usage Policy (https://www.anthropic.com/legal/aup) as amended from time to time, and is responsible for ensuring that content, automations and agents it builds or operates with the platform also comply with it.

(2) AI outputs are not legal, tax or other professional advice. The customer ensures that AI outputs used to advise third parties (e.g. clients) or to prepare documents for signature or filing are reviewed before delivery by a qualified person (licensed where required by law) who can modify them and is responsible for them.

(3) The customer informs recipients of advice based on AI outputs that AI was used.

(4) If the customer makes the platform or its answers directly available to third parties, it must clearly tell them they are interacting with AI and not a human.

(5) Breaches entitle ClapNClaw to block access under the last sentence of § 7.

§ 8 Data Protection and Commissioned Processing

The processing of personal data in connection with the use of the platform is governed by our Privacy Policy (clapnclaw.io/datenschutz).

Insofar as the customer commissions ClapNClaw with the processing of personal data, a Data Processing Agreement (DPA) pursuant to Art. 28 GDPR must be concluded between the parties. The DPA is concluded upon completion of registration by ticking the corresponding checkbox; the time, version and checksum of the accepted text are stored. The current version is available at clapnclaw.io/avv. Customers from regulated professions (lawyers, doctors, tax advisors) must additionally sign a confidentiality undertaking pursuant to § 203 StGB.

§ 9 Limitation of Liability

The liability of ClapNClaw for damages is governed as follows:

Unlimited liability for damages resulting from injury to life, body or health, in cases of intent or gross negligence, and in cases of breach of a guarantee or fraudulent intent.

Limited liability in cases of slight negligence: Only in the case of a breach of material contractual obligations (cardinal obligations) and limited to the foreseeable damage typical for the contract, but at most the customer's single monthly fee in the relevant month of damage per damaging event.

No liability for indirect damages, lost profits or data losses arising from failures of third-party providers (Anthropic PBC, Stripe, Hetzner, internet providers), insofar as ClapNClaw is not responsible for them.

The foregoing limitations of liability also apply in favor of the legal representatives and vicarious agents of ClapNClaw.

AI-assisted deadline calculation: Deadlines, public holidays and other dates determined by the platform using AI or the integrated deadline calculator are aids provided without any warranty of accuracy or completeness; in particular, not all (e.g. regional) public holidays or special rules are taken into account. The customer must have every result reviewed by a qualified person before relying on it; the calculation replaces neither that review nor the customer's deadline control book (Fristenkontrollbuch). In all other respects, liability is governed by the preceding paragraphs of this § 9.

§ 10 Confidentiality

Both parties undertake to treat all confidential information of the other party obtained in the course of the business relationship as confidential and not to disclose it to third parties. This obligation continues to apply even after the termination of the contract.

Excluded is information that is publicly known or that must be disclosed due to legal obligations.

§ 11 Changes to Services

ClapNClaw reserves the right to further develop, improve or adapt the services offered. Significant reductions in services are announced to the customer with a notice period of at least 6 weeks. In this case, the customer has a special right of termination.

§ 12 Final Provisions

Applicable law: The law of the Federal Republic of Germany applies exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Place of jurisdiction: The place of performance and the exclusive place of jurisdiction for all disputes arising from this contract is Berlin, provided that the customer is a merchant, a legal entity under public law or a special fund under public law.

Written form: Amendments and additions to these T&C and to the other components of the contract must be made in writing. This also applies to the waiver of this written form requirement.

Severability clause: Should individual provisions of these T&C be invalid or unenforceable, this does not affect the validity of the remaining provisions. The parties undertake to replace the invalid provision with a legally effective one that comes as close as possible to the economic purpose of the invalid provision.
